# Terms of Use

## 1. Agreement to these terms

These Terms of Use ("Terms") govern your access to and use of Acme Notes (the "Service"), provided by Acme Labs ApS ("we", "us" or "our"). By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of an organisation, you confirm that you are authorised to accept these Terms on its behalf.

## 2. Eligibility

You must be at least 16 years old, and old enough to form a binding contract where you live, to use the Service.

## 3. Your account

You need an account to use some features. You agree to provide accurate information, keep your login credentials confidential, and tell us promptly at privacy@acmenotes.example if you suspect unauthorised use. You are responsible for all activity under your account.

## 4. Subscriptions, fees and payment

Some parts of the Service require payment. Prices and features are described at the point of purchase. Unless stated otherwise, fees are charged in advance, are non-refundable except where required by law, and exclude applicable taxes.

**Subscriptions renew automatically** at the end of each billing period at the then-current price until you cancel. You can cancel at any time and your access will continue until the end of the current period. We will give you reasonable advance notice of any price change, and you can cancel before it takes effect.

**Right of withdrawal (EU/UK consumers).** If you are a consumer in the EU or UK, you normally have 14 days to withdraw from a purchase. By requesting immediate access to digital content or services, you agree that the service starts during the withdrawal period and acknowledge that you lose your right of withdrawal once it has been fully performed.

Payments are processed by our payment provider, Stripe. By making a payment you also agree to the [Stripe Services Agreement](https://stripe.com/legal/ssa) as it applies to you.

## 5. Acceptable use

You agree not to:

- break any law or infringe anyone's rights;
- upload malware or interfere with the security or operation of the Service;
- access the Service by automated means (such as scraping) except through interfaces we provide;
- reverse engineer the Service except where the law allows it;
- use the Service to send spam or to harass, abuse or harm others;
- resell or provide the Service to third parties without our permission.

## 6. Your content

You keep ownership of the content you submit to the Service ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process and display Your Content only as needed to operate and improve the Service for you.

You are responsible for Your Content and confirm you have the rights needed to submit it. We may remove content that we reasonably believe violates these Terms or the law.

If you believe content on the Service infringes your copyright, send a notice to privacy@acmenotes.example with the information required by the Digital Millennium Copyright Act (17 U.S.C. § 512).

## 7. AI features and output

The Service includes features powered by artificial intelligence. AI output is generated automatically, may be inaccurate, incomplete or offensive, and may not be unique. You are responsible for reviewing output before relying on it, and you must not use it for decisions with legal or similarly significant effects without human review. As between you and us, you own the output generated for you, to the extent permitted by law.

## 8. Our intellectual property

The Service, including its software, design and trademarks, is owned by Acme Labs ApS or our licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. If you send us feedback, we may use it without any obligation to you.

## 9. Third-party services

The Service may link to or integrate with third-party services that we do not control. Your use of them is subject to their own terms and policies, and we are not responsible for them.

## 10. Suspension and termination

You can stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service, and we will give you notice where reasonably possible. Sections that by their nature should survive termination will survive.

## 11. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. Nothing in these Terms affects rights you have as a consumer that cannot be limited by contract.

## 12. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim arose and 100 USD.

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be limited by law.

## 13. Indemnity

You agree to indemnify and hold us harmless from claims, losses and expenses (including reasonable legal fees) arising from your breach of these Terms or misuse of the Service.

## 14. Governing law and disputes

These Terms are governed by the laws of Denmark, without regard to its conflict-of-law rules. The courts of Denmark have exclusive jurisdiction over any dispute, except that consumers may also bring proceedings in the courts where they live and keep the protection of mandatory consumer laws of their country of residence.

Before starting formal proceedings, please contact us so we can try to resolve the issue informally.

## 15. Changes to these terms

We may change these Terms from time to time. If a change is material, we will give you reasonable notice before it takes effect. By continuing to use the Service after the change takes effect, you accept the updated Terms.
